Terms of Service

1. Acceptance of Terms

By accessing or using DialogDrive (the "Service"), provided by New Era Systems, LLC ("we," "us," or "our"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of an organization, you agree to these Terms for that organization and confirm you have authority to do so. If you do not agree, do not use the Service.

2. Description of Service

DialogDrive is a research and outreach platform for business-to-business selling. The Service allows you to:

• discover buying signals and research companies and stakeholders using public information and AI;
• generate and send personalized email campaigns from mailboxes you connect;
• manage replies, opportunities, deal kits, grant packages, and briefs;
• connect third-party services such as Microsoft 365, Google Workspace, and HubSpot.

3. Your Responsibilities

You are responsible for your use of the Service and for the content you provide and send. You must be at least 18 years old, or the age of majority where you live. You are responsible for keeping your account credentials confidential and for all activity under your account.

Email and outreach

• Messages are sent from your mailbox, in your name. You are the sender and are responsible for their content.
• You must comply with all laws that apply to your outreach, including CAN-SPAM, CASL, GDPR, and similar laws, as well as your email provider's policies.
• You must have a lawful basis to contact the people you add to the Service. You must honor opt-out requests, and you must not remove or alter the compliance footer or unsubscribe mechanism.
• You must review AI-generated content before you approve it for sending.

Prohibited uses

You may not use the Service to:

• send spam, unsolicited bulk email, or messages to purchased or harvested lists without a lawful basis;
• send content that is illegal, deceptive, harassing, threatening, or sexually explicit, or that impersonates another person;
• upload malware or malicious code, or try to get around rate limits, suppression, or other safeguards;
• reverse engineer the Service or access it through unauthorized means;
• violate the usage policies of our AI model providers or of connected services such as Google, Microsoft, or HubSpot.

We may pause campaigns or suspend accounts that we reasonably believe violate these rules.

4. Connected Accounts

When you connect a mailbox, file storage, or CRM, you authorize DialogDrive to access it as described in our Privacy Policy. You can disconnect at any time. Your use of connected services is also subject to their own terms.

5. Intellectual Property

Your content: You keep ownership of the content you submit, including contacts, documents, prompts, and campaign material. You grant us a limited license to process it only to operate and improve the Service, as described in our Privacy Policy.

Our IP: The Service, including the DialogDrive name, logo, and underlying technology, is owned by New Era Systems, LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service under these Terms.

AI output: If you comply with these Terms, we assign to you our right, title, and interest in the output the Service generates for you. Similar output may be generated for other users.

6. Subscriptions and Billing

Paid plans are billed through Stripe. By starting a subscription, you authorize recurring charges until you cancel. Plan prices, seat blocks, research credits, and features are listed on our Membership page and in the app. They may change prospectively with notice. Taxes may apply.

Trials, upgrades, and downgrades follow the terms shown when you subscribe. You may cancel at any time in the billing portal. Cancellation takes effect at the end of the current billing period. We generally do not offer prorated refunds.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted or error-free, or that any email will be delivered, opened, or answered. AI output is probabilistic and may be inaccurate or misleading. You are responsible for checking it before you rely on it or send it.

8. Limitation of Liability

To the maximum extent permitted by law, New Era Systems, LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses.

Our total liability will not exceed the amounts you paid us in the 12 months before the claim.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we must do so to protect the Service, other users, or third parties. When access ends, your right to use the Service ends. Provisions meant to survive termination, including intellectual property, disclaimers, and limitations of liability, remain in effect.

10. Changes to These Terms

We may update these Terms. We will notify you of material changes in the app or by email. Continued use after a change means you accept the updated Terms.
